1. Acceptance

These Terms & Conditions of Use ("Terms") govern your access to and use of RhythmAI websites, applications, and services (the "Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility & Accounts

• Age. You must be at least 13 years old to use the Service. If you are under the age of majority where you live, a parent/guardian must review and agree to these Terms on your behalf.
• Account responsibility. You are responsible for activities that occur under your account and for keeping your login credentials secure.
• Accurate information. You agree to provide accurate information and to keep it updated.

3. The Service (Beta)

RhythmAI is an AI music & video discovery experience with creator upload tools and chart-style views. During Phase 1 testing, uploads may be stored locally on your device and are not published globally. Features may change, be removed, or behave inconsistently during beta.

• Listeners. Listener access is free during beta unless we clearly state otherwise inside the product.
• Creators. Creator tools may be limited by plan, caps, or testing rules shown in-app.
• Charts are experimental. Rankings, badges, eligibility, and labels can change at any time.

4. Plans, Billing, Cancellation

If and when subscriptions are offered, you agree to the following plan and billing terms. For beta testing, pricing may be display-only and not charged unless explicitly stated in-product.

4.1 Plans

• Free Listener. Streaming access (no uploads).
• Free Creator Trial. Limited uploads for a limited time (example: 14 days). Trial eligibility and limits are shown in-app.
• Creator. Paid plan with higher upload and storage caps.
• Family. Shared plan for up to 4 devices within one household/account group, subject to in-app rules.

4.2 Billing & Payment Authorization

• Auto-renewal. Unless you cancel before the renewal date, subscriptions renew automatically for the next billing cycle.
• Authorization. You authorize us (and our payment processor) to charge your selected payment method for recurring fees, taxes, and applicable charges.
• Taxes. Prices may exclude taxes. You are responsible for any taxes required by law.

4.3 Cancellation & Refunds

• Cancel anytime. You can cancel in-app (or via the platform store if purchased through Apple/Google). Cancellation takes effect at the end of the current billing period unless otherwise stated.
• No partial refunds by default. Unless required by law or explicitly offered, we do not provide partial refunds for unused time.
• Charge disputes. Contact support first. You agree not to initiate a chargeback without giving us a reasonable opportunity to resolve the issue.

4.4 Plan Changes

We may change pricing and plan features with advance notice as required by law. If you do not agree to the changes, you may cancel before they take effect.

5. User Uploads & Content Rights

You may upload AI-generated or AI-assisted music/video and related artwork, subject to our Upload Rules.

• You own your content. As between you and RhythmAI, you retain ownership of your uploads.
• Your promises (warranties). You represent and warrant that you (a) own or have all necessary rights and permissions to upload and share the content; (b) the content does not infringe any third-party rights; and (c) the content complies with these Terms and our rules.
• License to operate the Service. You grant RhythmAI a non-exclusive, worldwide, royalty-free license to host, reproduce, distribute, publicly perform/display, and create technical modifications of your content only as needed to operate, improve, and provide the Service (including charting, previews, playback, downloads to your devices, and moderation). You can limit availability by deleting content or your account as described below.
• Content moderation. We may remove or restrict content we believe violates these Terms or our policies.

6. RhythmAI IP & License

RhythmAI and its logos, UI, software, and other materials are owned by RhythmAI or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for personal or business testing in accordance with these Terms.

7. Prohibited Conduct

You agree not to:

• Upload or share content that is unlawful, explicit sexual content, graphic violence, hateful, harassing, or otherwise not clean/family-friendly.
• Infringe copyrights, trademarks, privacy, or publicity rights, or upload content you do not own or have permission to use.
• Attempt to reverse engineer, scrape, disrupt, or overload the Service, or bypass limits or access controls.
• Impersonate others or misrepresent the origin of content.

8. Copyright / Takedown

If you believe content on RhythmAI infringes your copyright, contact us with (a) identification of the work, (b) the allegedly infringing material/location, (c) your contact information, and (d) a statement under penalty of perjury that you have a good faith belief the use is unauthorized. We may remove content and, where appropriate, terminate repeat infringers.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by law, RhythmAI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted operation, error-free functionality, or that charts or rankings will be accurate.

10. Limitation of Liability

To the maximum extent permitted by law, RhythmAI will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or content. Our total liability for any claim related to the Service will not exceed the amounts you paid to RhythmAI in the twelve (12) months before the event giving rise to the claim (or $10 if you paid nothing).

11. Indemnity

You agree to defend, indemnify, and hold harmless RhythmAI and its affiliates from claims, damages, liabilities, and expenses arising from your content, your use of the Service, or your violation of these Terms.

12. Termination & Account Deletion

• We may suspend/terminate. We may suspend or terminate access if we believe you violated these Terms, created risk, or misused the Service.
• You can delete your account. If you delete your account, we will remove or de-identify your account information as described in our Privacy Policy.
• Content retention window (example). If we offer a re-subscribe grace period, your content may remain in an archived state for up to 30 days so you can restore it if you return. After that, we may delete it. Beta behavior may differ and may be local-only.

13. Support, Questions, Complaints

For billing questions, cancellations, content issues, or complaints, contact support using the details in the Contact section. Provide your account email, a description of the issue, and relevant screenshots or error messages if available.

14. Changes

We may update these Terms from time to time. We will update the “Last updated” date and may provide additional notice in-product. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

15. Miscellaneous

• Governing law. These Terms are governed by the laws of the state where RhythmAI is established, without regard to conflict-of-law principles.
• Severability. If any provision is unenforceable, the remaining provisions remain in effect.
• Entire agreement. These Terms and policies referenced here form the entire agreement between you and RhythmAI regarding the Service.
